Acceptance of Terms
By accessing or using Aegis Health's services, website, or software (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately discontinue use of the Services.
Service Description
Aegis Health provides healthcare revenue cycle management software designed to assist with denial management and appeals processing. The Services are provided "AS IS" without any warranties, express or implied.
User Accounts and Access
- You must provide accurate, complete, and current information when creating an account
- You are solely responsible for maintaining the confidentiality of your account credentials
- You agree to immediately notify Aegis Health of any unauthorized access to your account
- Aegis Health reserves the right to suspend, terminate, or restrict access to any account at any time without prior notice
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Attempt to gain unauthorized access to any portion of the Services
- Use the Services to transmit any harmful, malicious, or disruptive code
- Reverse engineer, decompile, or disassemble any part of the Services
- Copy, modify, distribute, or create derivative works of the Services
- Use the Services in any manner that could damage, disable, or impair our systems
- Violate any applicable laws or regulations, including HIPAA and other healthcare privacy laws
Intellectual Property Rights
All content, features, functionality, software, and technology comprising the Services are the exclusive property of Aegis Health and are protected by United States and international copyright, trademark, and other intellectual property laws. You acquire no ownership rights by using the Services.
Data and Privacy
- You are responsible for the accuracy and legality of any data you submit to the Services
- You represent and warrant that you have all necessary rights and consents to provide any data to Aegis Health
- Aegis Health's use of your data is governed by our Privacy Policy
- Aegis Health implements reasonable security measures but does not guarantee the security of your data
HIPAA Compliance
If you are a covered entity or business associate under HIPAA, you are solely responsible for ensuring your use of the Services complies with all applicable HIPAA requirements. A separate Business Associate Agreement (BAA) may be required.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGIS HEALTH SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, or business opportunities
- Any damages arising from your use or inability to use the Services
- Any damages resulting from unauthorized access to or alteration of your data
- Any damages resulting from third-party services or integrations
- Any damages arising from reliance on the accuracy or completeness of any content
IN NO EVENT SHALL AEGIS HEALTH'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO AEGIS HEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of any content or results
Indemnification
You agree to indemnify, defend, and hold harmless Aegis Health, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of any third-party rights
- Any data or content you submit to the Services
Professional Medical Advice Disclaimer
THE SERVICES DO NOT PROVIDE MEDICAL ADVICE. Aegis Health is a technology platform only. Any information, suggestions, or outputs generated by the Services are for informational purposes only and should not be considered medical, legal, or financial advice. You are solely responsible for all clinical, billing, and compliance decisions.
Third-Party Services and Integrations
The Services may integrate with third-party services and software. Aegis Health is not responsible for the availability, accuracy, security, or functionality of any third-party services. Your use of third-party services is governed by their respective terms and policies.
Subscriptions and Payment
- All fees are non-refundable unless otherwise stated in writing
- Subscriptions automatically renew unless canceled prior to the renewal date
- Aegis Health reserves the right to modify pricing with thirty (30) days' notice
- Failure to pay fees may result in immediate suspension or termination of access
Modifications to Services and Terms
Aegis Health reserves the right to:
- Modify, suspend, or discontinue any aspect of the Services at any time without notice
- Update these Terms at any time, with changes effective immediately upon posting
- Change pricing, features, or access policies without prior notice
Continued use of the Services after any changes constitutes acceptance of the modified Terms.
Termination
Aegis Health may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Non-payment of fees
- Suspected fraudulent or illegal activity
- At Aegis Health's sole discretion
Upon termination, your right to use the Services immediately ceases. Aegis Health is not obligated to retain or provide access to any of your data after termination.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, conducted in Delaware. You waive any right to a jury trial or to participate in a class action.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
No Agency Relationship
No agency, partnership, joint venture, or employment relationship is created between you and Aegis Health by these Terms or your use of the Services.
